Welcome to Nuohua Garment. Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the nuohuagarment.com website (the “Service”) operated by Nuohua Garment (“us”, “we”, or “our”).

1. ACCEPTANCE OF TERMS

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. These Terms apply to all visitors, users, B2B clients, and others who access or use the Service.

2. B2B SERVICE & INQUIRIES

Nuohua Garment is a professional children’s apparel manufacturer. Most interactions on our site are for the purpose of requesting quotes (OEM/ODM inquiries).

  • Quote Validity: All price quotes provided via the “Get a Quote” system or email are valid for 30 days unless otherwise stated, due to potential fluctuations in raw material (cotton, modal, etc.) costs.
  • MOQ Requirements: Our standard Minimum Order Quantity (MOQ) is 100 pieces per style/color. Any exceptions must be agreed upon in writing during the negotiation phase.

3. SAMPLES & CUSTOMIZATION

  • Sample Fee: For custom designs, a sample fee will be charged before production. This fee typically covers pattern-making and fabric sourcing. Sample fees may be refundable against bulk orders exceeding a specified value.
  • Intellectual Property: You warrant that any designs, logos, or artworks provided to us for manufacturing do not infringe upon the intellectual property rights of any third party. You agree to indemnify Nuohua Garment against any claims arising from such infringement.

4. PRODUCTION & DELIVERY

  • Lead Times: Production lead times provided are estimates. Actual delivery dates depend on fabric availability, order complexity, and factory scheduling. We are not liable for delays caused by force majeure or shipping carrier issues.
  • Quality Standard: All products are manufactured to A-Class Safety standards for children’s wear. Small variations in color (dye-lot differences) or measurements (within industry-standard tolerances of 1-2cm) are considered acceptable.

5. PAYMENT TERMS

For bulk manufacturing orders:

  • Standard payment terms are a 30% deposit to initiate production and a 70% balance payment before shipment, unless a different agreement is reached in writing.
  • We reserve the right to withhold shipment until full payment is received.

6. INTELLECTUAL PROPERTY OF NUOHUA

The Service and its original content (excluding customer-provided designs), features, and functionality are and will remain the exclusive property of Nuohua Garment. Our brand name, logo, and product images may not be used without our prior written consent.

7. LIMITATION OF LIABILITY

In no event shall Nuohua Garment, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or other intangible losses, resulting from your use of our products or Service.

8. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through negotiation or in a court of competent jurisdiction in the factory’s location.

9. CHANGES

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will try to provide at least 30 days’ notice prior to any new terms taking effect.
